IRES Fund Management Limited (“IFML”) PSRA License Number: 003270 is wholly owned by I-RES REIT Plc and serves as the Company’s Alternative Investment Fund Manager (AIFM) under the Alternative Investment Fund Managers’ Regulations 2013 (the AIFM Regulations). IFML is authorised as an alternative investment fund manager by the Central Bank of Ireland (CBI) under the AIFM Regulations. I-RES REIT Plc has in place an alternative investment fund manager’s agreement with IFML under the terms of which the Company has delegated certain portfolio, property management and other functions to IFML.

Michael Boyce
Chairman
Michael Boyce acts as an independent director and a consultant to a number of Irish collective investment schemes. Prior to this, he was Executive Director of Northern Trust Investor Services (Ireland) Limited formerly Ulster Bank Investment Services Limited (UBIS) since 1990.
He was Managing Director of Ulster Bank Custodial Services which was the Trustee and Custody operation of Ulster Bank fund’s business from 1990 – 1997. From 1997 – 2000, he was Managing Director of Ulster Investment Bank Investment Services. Following the purchase of UBIS by Northern Trust in May 2000, he was appointed Director of Client Operations with responsibility for servicing a large range of institutional and retail clients. He has worked in the Financial Services industry for over 30 years including stockbroking, fund management and fund administration. He is a graduate of the Michael Smurfit School of Business at UCD from which he holds a Diploma in Corporate Governance. He is a member of the Securities Institute and has served on several committees of the Irish Funds Industry Association. He is also a member of the Institute of Directors Ireland, and a member of the Corporate Governance Association of Ireland.

Simon O’Sullivan
Independent Non-Executive Director
Simon O’Sullivan has worked in the investment management sector since 1993. From April 2002 to April 2006 he was employed in Dublin by Pioneer Alternative Investments as a product specialist.
In May 2006, he left Pioneer to join his family company as financial controller and in May 2013, Mr. O’Sullivan became a partner in MFL, trading as Risk System, a specialist provider of financial risk solutions to the investment funds industry. He has also worked for Fleming Investment Management as a fund manager in London, and Eagle Star and Merrion Capital, both in Dublin. He holds a Bachelor of Arts in Economics and Politics, a Master of Arts in Economics, a Master of Sciences in Investment & Treasury Management and a Diploma in Corporate Governance. Mr. O’Sullivan is a non-executive director of a number of investment funds.

Mari Hurley
Executive Director
Mari Hurley the CFO of I-RES REIT Plc. was appointed as CFO of I-RES REIT Plc on 13 July 2026.
Mari has a successful track record as CFO across private, semi-state and listed companies, spanning a wide range of sectors – including property – with operations across multiple international markets. In addition, she served as a non-executive Director on the Board of the National Asset Management Agency (“NAMA”) for ten years from 2014 to 2024. Prior to taking up the role with IRES, Mari was CFO in RTÉ for 2 years, and previous to that again was CFO for the AA (Ireland) for 3 years and for Premier Lotteries Ireland (operator of the Irish National Lottery) for 3 years.
She also served as CFO in Hostelworld Group plc when it listed on the Irish and London stock exchanges in 2015, a role she held for 11 years. Prior to that Ms Hurley served as CFO for the property advisory firm Sherry FitzGerald Group during its time as a listed company.
Ms Hurley is a chartered accountant and holds a B. Commerce degree from University College Cork and a Masters of Accounting from University College Dublin. She also completed the advanced management program at Harvard Business School.
